Terms and Conditions

These Terms and Conditions ("Terms") govern the use of nutraone.io and the related tracking platform (the "Platform") operated by NUTRAONE LTD, a company registered in England and Wales under number 16956937 ("NutraOne", "we", "us") by affiliates, media buyers and partners ("Affiliate", "you"). By registering or using the Platform, you accept these Terms together with our Privacy Policy, Cookie Policy and the conditions of each offer published in the Platform. If you do not agree, do not use the Platform.

1. Definitions

• Offer – a product campaign available in the Platform, with its own payout, GEO, caps and traffic rules.
• Lead – an order submitted by an end customer through your tracking link.
• Approved Lead – a Lead confirmed by our call center that meets the Offer conditions.
• Hold – the period during which earned commissions are reviewed before they become available for payout.

2. Eligibility and account

• You must be at least 18 years old or act on behalf of a legally registered company.
• You must provide accurate, complete and current information and keep your login details confidential. You are responsible for all activity in your account.
• Only one account per person or team is allowed unless we approve otherwise. Duplicate accounts may be closed together with all linked accounts.
• We may approve, reject, suspend or close any account at our discretion, including without giving a reason.

3. Allowed and prohibited traffic

You may only use traffic sources allowed for the specific Offer. The following is always prohibited:

• bot, automated, incentivised or motivated traffic, and traffic from task or "click-for-reward" services;
• fake, test or self-generated orders, and orders placed by you, your team or people paid to place them;
• spam (unsolicited email, SMS or messenger messages), cookie stuffing, forced clicks and hidden redirects;
• bidding on Offer or NutraOne brand names in search ads unless explicitly allowed for the Offer;
• sources with adult, violent, hateful, illegal or copyright-infringing content;
• scripts or tools that interfere with tracking, other partners' traffic or the Platform.

4. Advertising and claims

• You are responsible for your creatives, pre-landers and ads, and for complying with applicable law and the rules of the advertising platforms you use.
• You must not make false or misleading claims, including claims that a product cures, treats or prevents a disease, fake doctor or celebrity endorsements, fake news articles or fake reviews.
• Use only materials provided or approved by NutraOne for the Offer, or materials you are legally allowed to use.

5. Leads, approval and hold

• All Leads are processed by our call center. A commission is earned only for Approved Leads that meet the Offer conditions.
• Duplicate, invalid, fake, unreachable or non-compliant Leads are not paid.
• Commissions are placed on Hold for review before becoming available for payout. The Hold period is shown in the Platform and may be extended while suspected fraud is investigated.
• Statistics recorded in the Platform are the basis for calculating commissions.

6. Payouts

• Payouts are made according to the schedule, minimum amount and payment methods shown in the Platform. We may change these with notice in the Platform.
• You are responsible for providing correct payout details. We are not liable for losses caused by incorrect details you provide.
• Payout terms may be improved for trusted partners by individual agreement.

7. Reversals, fraud and penalties

• We may reverse commissions for Leads later found to be fraudulent, duplicate or non-compliant, including after payout. In that case the amount may be deducted from future commissions or must be returned.
• If we detect a breach of these Terms, we may withhold payouts, cancel all or part of the balance, and suspend or permanently close the account. Confirmed fraud results in the loss of the entire balance.

8. Taxes

You are solely responsible for declaring and paying any taxes on commissions you receive. NutraOne does not withhold or pay taxes on your behalf.

9. Confidentiality

Non-public information about Offers, payouts, funnels, conversion rates and statistics is confidential and may not be shared with third parties without our written consent.

10. Intellectual property

All trademarks, content and materials provided through the Platform remain the property of NutraOne or its partners. You receive a limited, revocable right to use them only to promote the Offers in line with these Terms.

11. Platform availability

We may perform scheduled or emergency maintenance and may change, suspend or discontinue any part of the Platform or any Offer at any time. We will try to inform you in advance where possible.

12. Limitation of liability

The Platform is provided "as is". To the maximum extent permitted by law, NutraOne is not liable for indirect or consequential losses, lost profits, or losses caused by third-party services, tracking interruptions or your use of third-party tools. Our total liability to you is limited to the commissions payable to you for the last 30 days.

13. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, cyber attacks, network or power outages, and actions of authorities.

14. Termination

You may stop using the Platform and close your account at any time. We may terminate or suspend access at any time. Commissions earned in line with these Terms before termination will be paid after the Hold, except where withheld under section 7.

15. Changes

We may update these Terms. The current version is always published on this page. Continued use of the Platform after changes means you accept the updated Terms.

16. General

• These Terms do not create a partnership, joint venture, employment or agency relationship.
• If any provision is found unenforceable, the remaining provisions stay in effect.
• These Terms and the Offer conditions are the entire agreement between you and NutraOne regarding the Platform.
• These Terms are governed by the laws of England and Wales. Disputes will first be resolved by negotiation in good faith; failing that, the courts of England and Wales have exclusive jurisdiction.
